Terms Of
Service

The commercial rules for this website, quotations, products, services, and Cloud EA Linux VPS.

These terms are issued by Patolink Investments Limited. They cover use of patolink.com, the Cloud EA customer portal, published Linux VPS plans, and the service and product lines we quote from Nairobi.

A signed quotation, statement of work, or order confirmation is part of the contract. Where that document is more specific, it prevails for that line item. These terms prevail over a customer purchase-order footer that we have not signed.

Acceptance

By using the website, submitting a form, creating a portal account, paying for a Cloud EA plan, or accepting a quotation, you agree to these terms, the Privacy Policy, the Acceptable Use Policy, and — for Cloud EA and retained services — the Service Level Agreement.

If you act for an organisation, you confirm you have authority to bind it. If you do not agree, do not use the site or the service.

The website

The public site is information and a path to a quotation or a published VPS order. Prices and plan shapes on /vps are the published Cloud EA matrix. Other products are quoted; we will not invent a public price list for seats or appliances that change with estate size.

We may change copy, plans, or the configurator. A change after you have paid for a named instance does not rewrite that instance’s paid term unless we both agree in writing.

Quotations and orders

A quotation is an offer to supply the named service hours and the named products, for the period and currency on the page. It is valid for the number of days printed on it, or 30 days if none is printed.

An order is accepted when we confirm it in writing or when payment for a published Cloud EA plan clears. We may refuse an order that would breach the Acceptable Use Policy, that we cannot provision, or that we cannot support from Nairobi.

Services and products stay on separate lines so renewals stay honest. A licence is not a retainer. A retainer is not a licence.

Services and products

A service is our time: assessment, implementation, cut-over, monitoring, tenant administration, or a managed retainer. A product is a vendor entitlement, an appliance, seats, or a Cloud EA virtual machine.

Vendor products are supplied on that vendor’s terms as well as ours. We are a Microsoft Partner, a 3CX Gold Partner in Kenya, and we place Sophos, Yeastar, and related platforms. We are not those vendors. Warranty for a box or a licence follows the vendor unless the quotation says we will hold a different duty.

Cloud EA VPS

Published Linux plans (Starter through Apex, plus Custom on request) are sold as Cloud EA. Payment is first. After payment the platform provisions the instance. Root or equivalent credentials go to the customer portal. Ubuntu 24.04 and Debian 12 are the starting images.

You are responsible for what you install, for keeping the guest operating system patched unless a managed retainer on the order says we will, and for copies of your own data beyond the daily backup included on published plans.

The host we operate stays on the backend. You will not be given hypervisor credentials or management URLs. You may not resell the instance as a public cloud of your own without a written reseller schedule.

Customer portal

The portal at cloud.patolink.com is for invoices, instance status, and credentials after payment. You must keep login details confidential and tell us if you believe they are compromised.

A portal session is not a grant of rights beyond the account. Staff consoles are limited to people we have marked as staff. We may revoke a login that is used in a way that puts other customers at risk.

Payment, taxes, and refunds

Fees are in Kenya Shillings unless the quotation says otherwise. Published VPS prices are monthly or annual as selected on the configurator. Annual billing, where offered, is for the term you pay; it is not a month-to-month discount you can unwind after provision without the unused-term rule below.

Invoices are due as stated. Late payment may suspend provisioning or a running instance after notice. Taxes that apply in Kenya are added where the law requires.

A published Cloud EA instance that has been provisioned is not refundable for the started billing period, except where Kenyan law requires or where we failed to provision after a cleared payment and cannot remedy. Unused prepaid time after a termination we accept may be credited to the account at our discretion. Service credits under the SLA are the remedy for measured unavailability; they are not cash.

Your responsibilities

You will give us information that is accurate enough to quote and to provision. You will use the services and products lawfully and under the Acceptable Use Policy. You will keep administrator credentials you receive. You will not probe, overload, or interfere with the platform or other customers.

You remain responsible for content, applications, and personal data you place on an instance or on a system we manage for you, including your duties as a controller under the Data Protection Act when you decide the purpose of that processing.

Intellectual property

The website, the Cloud EA name, the Patolink name, and our documentation remain ours. Vendor marks remain the vendor’s. Configuration we write for you in the course of a paid engagement may be used by you for the estate we built; we may reuse non-confidential methods on other accounts.

You grant us a limited licence to host and copy the material you upload to an instance or send to the desk, solely to deliver the service.

Warranties and liability

We will supply the service with reasonable skill and care from Nairobi, and the Cloud EA platform to the Service Level Agreement. We do not warrant that a network, a tenant, or an instance will be uninterrupted or error-free. The public site is provided as information.

Nothing in these terms limits liability that Kenyan law does not allow us to limit, including death or personal injury caused by negligence, or fraud.

Subject to that, our total liability arising out of a Cloud EA instance in a month is limited to the fees paid for that instance in that month, and for other services to the fees paid for the affected line in the three months before the claim. We are not liable for indirect or consequential loss, lost profits, lost data inside a guest you control, or a vendor outage we do not operate.

Suspension and termination

We may suspend or terminate an instance, a portal login, or a service if fees are unpaid after notice, if the Acceptable Use Policy is breached, if a court or regulator requires it, or if continuing would put the platform or other customers at material risk.

You may stop a month-to-month published plan at the end of the paid period by notice to the desk. A fixed term on a quotation runs to its date unless both parties agree otherwise. On termination we will disable the instance and, after any legal hold, delete it. Export your data before the end date.

Governing law

These terms are governed by the laws of Kenya. The courts of Kenya have exclusive jurisdiction, except that we may seek interim relief in any forum to protect the platform or our intellectual property.
